These Terms of Service (“Terms”) are an agreement between you and Relay. They explain the rules for using our workspace-based AI agent service. By creating an account or using the service, you agree to these Terms.
01 Agreement and eligibility
You must be legally able to enter into this agreement. If you use Relay for an organization, you confirm that you have authority to accept these Terms for that organization. You must be at least 18 years old to use the service.
02 The service
Relay lets you install AI agents in workspaces, assign work, connect third-party services, schedule work, and review agent activity across supported channels. Features and limits depend on your plan and may change as the service develops.
You are responsible for deciding what work to assign and for reviewing results and consequential actions. Approval controls help you supervise work, but they do not replace your own judgment.
03 Accounts and workspaces
Provide accurate account information, protect your credentials, and tell us promptly if you believe your account has been compromised. You are responsible for activity performed through your account.
Workspaces separate agents, conversations, connections, and related data. You must only invite people and place data in a workspace when you have the right to do so.
04 Connected services and channels
When you connect Gmail, Google Drive, Slack, Telegram, or another service, you authorize Relay to access and act on that service only as needed to provide the features you choose. Your use of a connected service remains subject to that provider’s terms.
You are responsible for the accounts, permissions, recipients, and content you connect. You can remove a connection, although removing it may interrupt work that depends on it.
05 AI-generated work
AI systems can produce incomplete, inaccurate, or unexpected results. You must review output before relying on it, especially for legal, financial, medical, employment, security, or other high-impact decisions. Do not treat agent output as professional advice.
Similar inputs may produce similar outputs for different users. We do not guarantee that output is unique, error-free, or suitable for a particular purpose.
06 Acceptable use
You may not use the service to:
- break the law, violate another person’s rights, or facilitate harm;
- access accounts, systems, or data without authorization;
- distribute malware, spam, deception, or abusive content;
- circumvent safeguards, plan limits, or access restrictions;
- probe, disrupt, or overload the service or its infrastructure; or
- build or train a competing model or service from unauthorized access.
07 Plans and payment
Paid plans renew automatically at the stated billing interval until canceled. Prices, taxes, included usage, and additional usage charges are shown before purchase. You authorize our payment provider to charge your selected payment method.
You can cancel future renewal through the billing controls. Except where law requires otherwise, charges already paid are non-refundable and cancellation takes effect at the end of the paid period.
08 Your content and our service
You keep ownership of content you submit and, as between you and Relay, output generated for you. You grant us the limited rights needed to host, process, transmit, and secure that content and to provide the service you request.
We and our licensors own the service, software, design, and related materials. These Terms do not transfer those rights to you. If you send feedback, you allow us to use it without restriction or payment.
09 Availability and changes
We work to keep Relay reliable, but do not promise uninterrupted access. Maintenance, security events, providers, and circumstances outside our control may affect availability. We may change, add, or remove features and will give reasonable notice when a material change adversely affects a paid service.
10 Suspension and termination
You may stop using the service at any time. We may restrict or end access when reasonably necessary to protect the service or others, respond to legal requirements, address nonpayment, or enforce these Terms. Where practical, we will give notice and an opportunity to correct the issue.
Terms that by their nature should continue after termination remain in effect, including ownership, disclaimers, liability limits, and payment obligations accrued before termination.
11 Disclaimers
To the extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing. We do not warrant specific results, uninterrupted operation, or error-free AI output.
12 Limitation of liability
To the fullest extent permitted by law, Relay and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.
Our total liability for all claims relating to the service will not exceed the greater of US$100 or the amount you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them.
13 General terms
These Terms are the entire agreement about the service and replace prior discussions about it. If one provision cannot be enforced, the rest remain in effect. A delay in enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, financing, or sale.
We may update these Terms. We will post the revised version and update its effective date, and will provide additional notice for material changes when required. Continued use after the new terms take effect means you accept them.
